Introduction
These Terms and Conditions of Service ("Terms") govern your access to and use of the Nook mobile application and related services (collectively, the "Service") operated by Beedcom Interactive Limited ("Beedcom", "we", "us", or "our"), a company incorporated under the laws of Nigeria.
By downloading, installing, or using Nook, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. If you are using Nook on behalf of an organisation, you agree to these Terms on behalf of that organisation.
Definitions
For the purposes of these Terms:
- "Nook" refers to the mobile application and platform operated by Beedcom Interactive Limited under the brand name Nook.
- "User", "you", or "your" refers to any individual who accesses or uses the Service.
- "Signal" refers to a real-time broadcast of intent posted by a user on the platform — an expression of something the user needs, is offering, or is open to — visible to other users within a defined physical proximity.
- "Spot" refers to a location cluster within the Nook platform where signals are posted and visible to users who are physically present or nearby. All Spots are public spaces.
- "Nook Credits" refers to the in-platform currency used to access the Service and certain features.
- "Content" refers to any text, information, or material that you submit, post, or transmit through the Service.
- "Airgap Chat" refers to the in-app messaging feature that allows users to communicate before agreeing to a real-world meetup, without exchanging personal contact details.
- "Objectionable Content" refers to any content that is offensive, abusive, threatening, defamatory, harassing, obscene, sexually explicit, hateful, discriminatory, violent, unlawful, or otherwise prohibited under Section 6 of these Terms.
- "Club Pass" refers to a paid membership granting access to members-only gatherings and features for a fixed period.
Eligibility
You must be at least 18 years of age to use Nook. By using the Service, you represent and warrant that you are 18 years of age or older.
By using the Service, you confirm you have the legal capacity to enter into these Terms. If you are under 18, you must not use the Service.
Nook is intended for individuals who are physically present within the geographic areas where the Service is active. Use of the Service from jurisdictions where it is not available or not yet launched is at your own risk.
Account Registration and Membership
To access the full features of Nook, you must create an account and become a member. When registering, you agree to:
- Provide accurate, current, and complete information about yourself.
- Maintain and update your information to keep it accurate and complete.
- Keep your login credentials confidential and not share them with any third party.
- Accept responsibility for all activities that occur under your account.
Anyone who meets the eligibility requirements in Section 3 may create a Nook account by completing the registration process in the application. Some features and gatherings are restricted to members holding a Club Pass, as described in Section 5.
By creating an account you confirm that you have read and agree to these Terms and to our Privacy Policy. We reserve the right to suspend or terminate any account that breaches these Terms.
Nook Credits and Payments
5.1 Credits System
Nook Credits are used within the platform for certain actions, such as creating events, listing a Spot in discovery, and other features identified in the application. Browsing signals, responding to signals, and messaging do not require credits. Upon creating an account, new members receive a starting balance of Nook Credits. This balance is provided as a courtesy and may be modified at our discretion.
Nook Credits are not real currency, have no cash value, and cannot be transferred, sold, gifted, exchanged, withdrawn, or redeemed for cash under any circumstances. Credits are a purchase of access to features within the Service, not a deposit of funds held on your behalf. Credits are non-refundable except where required by applicable law.
5.2 Purchasing Credits and Passes
Credits and membership passes may be purchased through the payment options made available within the application or on our website. Purchases made on the web are processed by Paystack. Purchases made within the iOS or Android application are processed by Apple or Google respectively, and are subject to their terms in addition to these Terms.
Prices are displayed in Nigerian Naira (NGN) unless otherwise shown in the application. Prices are subject to change at any time without notice.
5.3 Club Pass and Memberships
Club Pass is a membership granting access to members-only gatherings and features for a fixed period from the date of activation. Membership periods are stated in the application at the point of purchase. Where a membership is renewed before it expires, the new period is added to the remaining balance of the existing period.
Membership purchases are final and non-refundable except where required by applicable law. Where a gathering or event is cancelled, we may at our discretion offer a replacement, credit, or refund, but are not obliged to do so.
5.4 Signal Deposits
Joining certain scheduled signals may require a credit deposit. This deposit is held during the period between joining and the event. The deposit is fully refunded when the user checks in to the signal at the designated Spot. Deposits are forfeited if the user fails to attend without cancelling within a reasonable time before the event.
5.5 No Subscription Billing
Nook does not operate automatic recurring subscription billing. All purchases are manual and initiated by you. We will not charge your payment method automatically. You are responsible for maintaining sufficient credit balance to continue accessing the Service.
User Conduct and Signals
6.1 Signal Posting
There is no tolerance for objectionable content or abusive users on Nook. Content that is objectionable, and users who behave abusively, will be removed from the platform. Accounts that post objectionable content will be ejected.
When posting a signal, or submitting any other content to the Service, you represent that the content is genuine, accurate, and reflects a real need, offer, or intention. You agree not to post content that is:
- False, misleading, or deceptive.
- Offensive, abusive, threatening, defamatory, or harassing.
- Obscene, pornographic, sexually explicit, or sexually suggestive.
- Hateful, or which promotes discrimination, bigotry, or violence against any individual or group.
- Violent, graphic, or which glorifies self-harm or harm to others.
- In violation of any applicable law or regulation.
- Designed to deceive other users into meeting under false pretences.
- Spam, repetitive, or low-quality content intended to game the platform.
- Advertising or commercial solicitation not permitted by Nook.
- Infringing on the intellectual property, privacy, or other rights of any person.
This applies to every part of the Service where you can submit content, including signals, signal updates, images, messages, profile information, Spot names and descriptions, and any other user-submitted material.
6.2 Real-World Meetups and Safety
Nook facilitates real-life meetings between users. All meetups arranged through the platform take place at public Spots — named, publicly accessible venues. You acknowledge that:
- You are solely responsible for your safety during any meetup arranged through the platform.
- Beedcom does not verify the identity, credentials, or intentions of other users beyond what is captured in the platform's reputation system.
- You should use the airgap chat to communicate with the other party before agreeing to any in-person meetup.
- You should exercise the same caution in meeting strangers through Nook as you would in any other context.
- If another user makes you uncomfortable at any point, you can block them and report them from within the application. See Section 7.
- Beedcom is not responsible for any harm, loss, or damage arising from real-world interactions facilitated by the platform.
6.3 Joining Signals
When you join a signal, you make a commitment to the other party. No-shows and last-minute cancellations affect your reputation score on the platform and may restrict your ability to use certain features. Repeated unreliable behaviour may result in account suspension.
6.4 Reputation and Ratings
After a meetup, users may rate their experience. Ratings are an important part of how trust is built on the platform. You agree not to manipulate ratings, solicit false ratings, or engage in any behaviour designed to artificially inflate or damage another user's reputation score.
Objectionable Content, Reporting and Moderation
Nook has zero tolerance for objectionable content and abusive behaviour. We act on reports of objectionable content within 24 hours by removing the content and ejecting the user who provided it.
7.1 Reporting Content
Every signal, message, and user profile on Nook can be reported from within the application. To report content, use the flag or report control shown on that content. You will be asked to give a reason.
When you report content, it is hidden from your view immediately. You do not need to wait for us to review it before it stops appearing to you.
7.2 Blocking Users
You can block any other user from within the application. When you block someone:
- Their signals no longer appear in your feed.
- Their messages no longer appear in your conversations, and they cannot start a new conversation with you.
- They cannot join signals you have posted or joined, and you cannot join theirs.
- They are removed from any participant lists visible to you.
Blocking takes effect immediately and applies in both directions. You can view and manage the users you have blocked in your profile settings. Blocking a user also notifies us so that we can review the account.
7.3 Our Response to Reports
We review reports of objectionable content and abusive behaviour within 24 hours of receiving them. Where a report is upheld, we will:
- Remove the offending content from the platform.
- Eject the user who provided it, by suspending or permanently terminating their account.
- Where appropriate, report the matter to the relevant authorities.
We may remove content or suspend an account at any time, with or without notice, where we believe these Terms have been breached. We do not require a report in order to act.
7.4 Appeals
If your content was removed or your account was suspended and you believe this was in error, you may contact us at support@nooksignal.com. We will consider your appeal, but our decision is final.
7.5 Your Responsibility
You are responsible for the content you submit. By submitting content to the Service, you confirm that it does not breach these Terms. Repeated breaches, or a single serious breach, will result in permanent removal from the platform.
Prohibited Uses
In addition to the conduct rules above, you agree not to:
- Use the Service for any unlawful purpose or in violation of any local, national, or international law.
- Attempt to gain unauthorised access to any part of the Service or another user's account.
- Use automated tools, bots, scripts, or scrapers to access or collect data from the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Post or transmit any malware, viruses, or other harmful code.
- Harass, stalk, intimidate, or threaten any other user.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service to conduct or facilitate any form of fraud or financial crime.
- Facilitate or arrange any illegal activity through the platform.
Intellectual Property
The Service, including its design, software, features, and all content created by Beedcom, is the exclusive property of Beedcom Interactive Limited and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you post to the platform. By posting content, you grant Beedcom a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content for the purpose of operating and improving the Service.
You may not use the Nook name, logo, or brand assets without our prior written permission.
Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand how we collect, use, and protect your personal information.
Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Beedcom does not warrant that the Service will be uninterrupted, error-free, or secure; that any defects or errors will be corrected; or that the Service or its content is accurate, complete, or current.
To the fullest extent permitted by applicable law, Beedcom disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, Beedcom Interactive Limited and its directors, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, including but not limited to:
- Personal injury or property damage resulting from real-world meetups arranged through the platform.
- Loss of data, revenue, profits, or goodwill.
- Unauthorised access to or use of your account or personal information.
- Any conduct or content of other users.
In no event shall Beedcom's total liability to you for all claims exceed the amount of Nook Credits or currency you paid to Beedcom in the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Beedcom Interactive Limited and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another user or third party.
Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason including but not limited to a violation of these Terms.
Accounts that post objectionable content or behave abusively towards other users will be ejected from the platform. Depending on the severity, this may be a temporary suspension or a permanent termination. A permanently terminated account may not be recreated.
You may terminate your account at any time by contacting us or using the account deletion feature within the application. Upon termination, your right to use the Service immediately ceases. Unused Nook Credits are forfeited upon termination and will not be refunded, except where required by applicable law.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the application or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Nigeria.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Beedcom Interactive Limited with respect to the Service and supersede all prior agreements, understandings, and representations.
